1. Purpose of the Portal
The WPG Canada B2B Portal is designed to help clients easily consult our product inventory, check item availability, view personalized pricing, and place orders online.
Each client receives a unique login granting access to their specific pricing level based on their annual booking order.
2. Ordering Process
● Products can be added to the cart and ordered through the portal.
● Orders submitted via the portal are not automatically charged.
● After review, WPG sends an order confirmation by email, which is not the final invoice (taxes and shipping fees are not included at this stage).
3. Payment
● Payments are not processed through the portal.
● First-time orders require payment before shipment via e-transfer or credit card to info@wpgcanada.com.
● Subsequent orders have a payment term of 30 days from invoice date.
● The final invoice, including taxes and shipping, is emailed once the order is shipped and includes the tracking number.
4. Taxes and Import Fees
● WPG Canada Inc. is responsible for customs clearance, import paperwork, and any import duties or taxes related to bringing products into Canada.
● The client pays only the applicable Canadian taxes (e.g., GST/HST/PST) that apply in their territory.
● All taxes will be included on the final invoice.
5. Minimum Order
● There is no minimum order requirement.
● Clients are encouraged to consolidate smaller orders into larger ones to reduce errors and minimize shipping costs.
6. Shipping
● Shipping costs are borne by the client unless a specific annual purchase threshold is reached, as defined by WPG’s programs.
● Clients may choose their own shipping company, otherwise WPG uses its designated carrier and the client accepts the associated fees.
● Orders are shipped within 3-4 working days once items are in stock.
● If products are out of stock, WPG informs the client of delivery delays or partial shipments.
7. Inventory and Product Availability
● WPG accesses a wide range of products from multiple suppliers; it is not possible to stock all items at all times.
● WPG commits to maintaining in-stock availability for products previously ordered by clients and to expand inventory in line with growing demand.
● Clients acknowledge that delays may occur due to circumstances beyond WPG’s control.
8. Booking Program
The WPG Canada Booking Program allows clients to benefit from volume and brand diversity discounts when placing orders ahead of the season.
● Early booking helps clients secure inventory and receive personalized discounts based on their annual purchase volume and the variety of brands ordered.
● Detailed information, including exact discount levels and conditions, is provided in the Booking Program document sent separately.
9. Order Modifications and Cancellations
● Clients may modify or cancel an order at any time prior to shipment.
● Orders that require special production from the manufacturer or concern products not usually kept in stock may not be eligible for modification or cancellation.
● Any approved modifications or cancellations will be confirmed by WPG in writing (email).
10. Returns and Warranty
Warranty
● WPG Canada Inc. ships products as received from the manufacturer and does not inspect every unit prior to shipment.
● Manufacturer warranties apply, and WPG will assist clients in facilitating claims.
Returns and Claims
● Products may only be returned with prior written authorization from WPG. Unauthorized returns will not be accepted.
● Claims for defective products should be reported to WPG within a reasonable time after the defect is discovered. WPG may request supporting information such as photographs or documentation.
● For confirmed defective products, WPG and the client will coordinate the return, and WPG covers shipping costs. In general, the defective product will be replaced with a fully functioning one.
● For exceptional products (e.g., winging boards) that are very expensive to replace due to shipping costs, the client will be encouraged to seek repair, with all repair costs covered by WPG.
● Although WPG takes great care preparing orders, mistakes may occur. Clients are asked to verify their orders upon receipt and notify WPG as soon as possible of any errors or missing items.
Damaged or Lost Goods in Transit
● WPG is responsible for claims if its carrier is used.
● If the client’s carrier is used, the client is responsible for claims.
Limitations
● WPG is not liable for indirect, incidental, or consequential damages, including loss of profit or business interruption.
11. Advice and Expertise
● WPG is happy to share knowledge, expertise, and advice on its products whenever possible.
● Clients acknowledge that all purchasing and usage decisions are made at their discretion.
● WPG is not liable for material, physical, or other damages resulting from the use or misuse of products purchased, including any advice or recommendations provided.
● Clients are responsible for ensuring products are used in accordance with manufacturer instructions and applicable safety standards.
12. Data and Privacy
At WPG Canada, we take your privacy seriously and collect only the minimum personal information necessary to provide our services and bill products.
Information We Collect
● Personal information such as name, address, email, and phone number is only collected when voluntarily provided.
● Occasionally, we may preserve information about payment methods at your request to facilitate future transactions.
● Account and transaction data are stored securely on Odoo.sh, our management platform, while other sensitive information may be stored on secure servers (e.g., Dropbox).
Data Retention and Deletion
● Personal information is deleted if your account is inactive for more than five years.
● You may request modification or deletion of your data at any time by contacting info@wpgcanada.com.
Website & Analytics
● Browsing information such as geolocation and preferences may be collected anonymously via tools like Google Analytics to improve your experience.
● Cookies and trackers can be accepted or refused, and preferences may be changed at any time.
Marketing
● We may send bulk emails to companies that fit our target audience using only public professional information.
● An unsubscribe option is always provided.
Commitment
● WPG Canada does not sell personal or company information under any circumstances.
13. Force Majeure
WPG Canada Inc. is not liable for delays, non-performance, or damages resulting from events beyond its reasonable control, including but not limited to: acts of God, natural disasters, strikes, labor disputes, supplier failures, transport disruptions, or governmental actions.
14. Limitation of Liability
Except as expressly stated in these Terms & Conditions, WPG Canada Inc.’s total liability to the client for any claim arising from products, services, or use of the B2B portal is limited to the amount paid by the client for the specific order giving rise to the claim. Under no circumstances shall WPG Canada Inc. be liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
15. Governing Law
All contractual relations are governed exclusively by Canadian law.
